Terms of Service

1. Service Description
appsaiagents ("we", "us", "our") designs, deploys and maintains autonomous AI agents for B2B businesses. Our services are delivered as fixed-price packages with optional ongoing support retainers.
2. Scope of Services
Each engagement is defined by a fixed-price proposal that specifies:
- The agent(s) to be deployed and their capabilities
- Integration requirements and channel coverage
- Timeline for delivery (typically 2-3 weeks per agent)
- One-time setup fee and optional monthly retainer
- Post-launch support period (30-90 days depending on package)
Work begins only after the client approves the fixed-price proposal.
3. Payment Terms
- Setup fees are invoiced at 50% upfront, 50% upon delivery
- Monthly retainers are invoiced at the start of each month
- All prices are in USD, excluding VAT/sales tax where applicable
- LLM API usage and voice/SMS costs are passed through at cost
- Consultancy work is billed at the agreed hourly rate ($75/hr)
- Payment is due within 14 days of invoice date
4. Client Responsibilities
- Provide timely access to documentation, systems, and APIs required for integration
- Designate a point of contact for the duration of the project
- Review and test the agent during the deployment phase
- Ensure compliance with their own data protection obligations
5. Intellectual Property
- Client data: Remains the client's property. We do not claim ownership of any data submitted to the agents.
- Agent configuration: The agent setup, prompts, and integrations built for a specific client are licensed to that client for their use.
- Core technology: The underlying OpenClaw runtime is MIT-licensed open source. Clients may take their agent in-house at any time.
- Model cards: Documentation of the LLM models used, their capabilities and limitations, is provided with every deployment.
6. Data Protection
We process client data in accordance with our Privacy Policy and the GDPR. Key commitments:
- All data stays within the EU (Hetzner infrastructure)
- Conversation data is not shared with LLM training endpoints
- DPA available on request
- Granular data retention controls per client preference
- EU AI Act Article 50 transparency by default
7. Limitation of Liability
Our AI agents are designed to handle routine tasks within defined scopes. We do not guarantee that agents will handle every edge case. Our liability is limited to the amount paid for the specific service giving rise to the claim. We are not liable for indirect damages, loss of profits, or service interruption caused by third-party LLM API outages.
8. Cancellation & Termination
- Monthly retainers may be cancelled with 30 days written notice
- In-progress project work already delivered is invoiced
- Either party may terminate for material breach with 14 days notice to cure
- Upon termination, client data is returned or deleted per client preference
9. Governing Law
These terms are governed by the laws of the Netherlands. Any disputes shall be resolved by the courts of Amsterdam, Netherlands.
